Contracts and Agreements
The success of collaborative projects depends on the ability of the parties to work together during the lifetime of the project, as well as a solid legal framework. Achieving the best contractual framework requires negotiation skills as well as sound technical legal skills.
Contract drafting is one of FAL's primary strengths and some recent examples include:
- Drafting agreements regarding funding, company financing and Government grants & other funding sources
- Drafting agreements regarding web design, content provision, co-branding, content licence, advertising placement, ISP, sponsorship and link, service agreements, website terms and conditions, website maintenance, click-through licences, hosting and disclaimers
- Advising research organisations on liability for content published on the web
- Advising on a tendering process for the procurement of (among others) midrange, desktop and storage services;
- Assisting with the procurement of midrange, desktop and storage services, including, including drafting the statement of work (in particular, KPIs), drafted the primary contract terms and conditions, evaluating tender responses, participating in the decision-making process, advising on the risk profile of tenderers (including insurance arrangements and liability caps) and negotiating the contract;
- Advised an IT company on its contract for the provision of territorial and satellite services to the Department of Foreign Affairs and Trade, including advising on issues regarding the scope of work and application of liquidated damaged provisions;
- Drafting and negotiating contracts for the development and implementation of new information technology services, including pay roll technology and records management services
- Drafting agreements governing the distribution of agricultural machinery
