WINDING UP

Many research entities have only a defined life, for example due to the length of a funding agreement or the achievement of a particular research outcome. Thanks in particular to our extensive experience working with CRCs over the last 20 years, we have extensive experience in helping organisations meet their legal obligations when winding up.

Whether your strategy is to completely close down the research, to establish a new organisation funded by different participants or you wish to establish a spin-off company, we can help.

Our experienced team can guide you through the operational, legal and personnel issues involved in winding up a research entity. We can advise on:

  • Providing returns to participants
  • Ensuring assets are allocated in accordance with the Agreements, and liabilities are met
  • Options for a JV / company established during the research
  • Sale and purchase agreements
  • The ongoing protection and management of IP owned by the entity
  • Taxation
  • Corporate governance requirements
  • Assignments
  • Wind up or deregistration requirements under ASIC
  •
